End User License Agreement (EULA)

1.1 Subject to your compliance with this EULA and payment of applicable subscription fees, PiTech Studio grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Software solely for your personal or internal business purposes during the applicable subscription period.

1.2 The licence granted under this EULA is a service access licence — the Software is provided as a cloud-based service (SaaS). No software is downloaded to your device, and no licence to install, copy, or distribute software files is granted.

1.3 Agency users are granted an additional right to use the Software to deliver SEO analysis and reporting services to their end clients, provided such clients do not receive independent access to the Software.

1.4 The licence is subject to the plan tier you have subscribed to. Features, usage quotas, and access rights are defined by your current plan. Accessing features beyond your plan level is a breach of this EULA.

You must not, and must not permit any third party to:

• Copy, reproduce, or duplicate any portion of the Software or its underlying code;
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or trade secrets of the Software;
• Modify, adapt, translate, or create derivative works based on the Software;
• Rent, lease, lend, sell, sublicense, assign, or transfer the licence or access to the Software to any third party;
• Circumvent or bypass quota enforcement, subscription checks, domain verification, or any other technical access control;
• Use automated tools, scripts, bots, or scrapers to access the Software's interfaces or APIs beyond authorised API usage;
• Remove, alter, or obscure any proprietary notices, branding, or copyright notices within the Software;
• Use the Software to develop a competing service, benchmark the Software for publication without consent, or facilitate a competitor's product development;
• Access the Software in a manner that violates applicable computer crime laws, including Nepal's Electronic Transactions Act 2063;
• Share account credentials with any person outside your organisation.

3.1 The Software, all copies thereof, and all related intellectual property (including but not limited to source code, object code, interfaces, databases, documentation, trademarks, trade dress, and AI models) are and shall remain the exclusive property of PiTech Studio or its licensors.

3.2 This EULA does not constitute a sale and does not transfer any ownership rights in the Software to you. You receive only the limited access rights expressly set out in Section 1.

3.3 The name "SEO Agent", "PiTech Studio", associated logos, and product names are trademarks of PiTech Studio. Nothing in this EULA grants you any right to use these marks.

3.4 All AI-generated outputs (audit reports, recommendations, content suggestions) produced through the Software are provided under the licence in Section 4 below.

4.1 AI-generated reports, SEO audit findings, fix recommendations, content suggestions, schema code, and other outputs produced by the Software are generated on your behalf using your input data.

4.2 You own the outputs generated specifically from your own website data. To the extent that copyright subsists in AI-generated outputs, PiTech Studio assigns such rights to you for outputs generated from data you own.

4.3 You acknowledge that AI outputs may not be fully protected by copyright in all jurisdictions (given ongoing legislative uncertainty around AI-generated works), and you use such outputs at your own discretion.

4.4 PiTech Studio retains the right to use anonymised, aggregated patterns and metadata derived from audit results to improve the Software, without identifying you or your websites.

4.5 You may not represent AI-generated content as having been independently authored by a named human expert, or in a manner that misleads recipients about its origin.

5.1 The Software integrates with third-party services including:

• Anthropic Claude AI — AI analysis and content generation (subject to Anthropic's Usage Policy)
• Google PageSpeed Insights API — Core Web Vitals data (subject to Google's Terms of Service)
• Open PageRank API — Domain authority data
• Playwright — Open-source browser automation (Apache 2.0 licence)
• Prisma ORM, Fastify, Next.js — Infrastructure components (MIT / Apache 2.0 licences)

5.2 Your use of third-party components is governed by their respective licence agreements and terms of service. We are not liable for third-party service failures, inaccuracies, or changes in availability.

5.3 Open-source components used in the Software are governed by their respective open-source licences. Copies of relevant licences are available on request.

6.1 The Software is made available under the following licence tiers (features and pricing as specified on the Pricing page):

• Free: Limited audits per month; verified domains only; no competitor analysis; basic features
• Standard: Increased audit quota; verified domains only; AI fix recommendations; no competitor analysis
• Pro: Higher quota; competitor audit capability (unverified domains); all analysis modules
• Agency: High quota; client management; all Pro features; multi-page crawl
• Content Optimizer Add-on: CMS integration; available as paid add-on for all tiers

6.2 Downgrading to a lower tier immediately restricts access to features not included in that tier. Data generated under higher tiers may be retained but not accessible after downgrade, subject to the retention policy.

6.3 Trial periods are subject to the terms in Section 5 of the Terms of Service.

7.1 PiTech Studio reserves the right to update, modify, enhance, or discontinue features of the Software at any time. Feature changes will be communicated via in-app notices or email.

7.2 Updates are provided automatically as part of the SaaS delivery model. No action is required on your part to receive updates.

7.3 If a material feature included in your paid subscription is permanently discontinued, you may request a pro-rata refund for the remaining subscription period.

8.1 This EULA is effective from the date you first access the Software and continues until terminated.

8.2 Termination by you: You may terminate this EULA by deleting your account and ceasing all use of the Software.

8.3 Termination by us: We may terminate this EULA immediately upon written notice if you breach any material provision. For less serious breaches, we will provide 14 days' notice and an opportunity to cure.

8.4 Upon termination: (a) the licence granted herein immediately ceases; (b) you must cease all use of the Software; (c) we will delete your data in accordance with our Privacy Policy retention schedule.

8.5 Sections 3, 4, 9, 10, and 11 of this EULA survive termination.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PITECH STUDIO EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-GENERATED OUTPUTS
• WARRANTIES THAT USE OF THE SOFTWARE WILL IMPROVE SEARCH RANKINGS, TRAFFIC, OR REVENUE
• WARRANTIES AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SOFTWARE

Mandatory consumer protection warranties under Nepal's Consumer Protection Act 2075 or equivalent laws in other jurisdictions are not excluded by this clause.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PITECH STUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

PITECH STUDIO'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING UNDER THIS EULA SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

This EULA is governed by the laws of Nepal. Disputes shall be resolved in the competent courts of Kathmandu District. For EU/UK consumers, mandatory consumer protection laws of your jurisdiction apply alongside Nepali law where they provide greater protection.

You agree to comply with all applicable export control laws and regulations, including those of Nepal, the United States, and the European Union. You represent that you are not located in, or a national of, any country subject to sanctions that would prohibit use of the Software.

This EULA, together with the Terms of Service, Privacy Policy, Cookie Policy, and Disclaimer, constitutes the entire agreement between you and PiTech Studio regarding the Software and supersedes all prior or contemporaneous understandings. If any provision of this EULA is held unenforceable, the remaining provisions continue in full force.
